thoroughly. It is the responsibility of the Guests to be familiar with all
policies within this License. The limited occupancy license does not constitute
a lease or permit permanent or primary residence or other type of tenancy.

Bookings, and other 3rd party reservation platforms:
(Sections in this agreement marked with bold italic notes in
parentheses indicate clauses that only apply in certain situations. If there is
any conflict between this agreement and the Terms of Service, payment policies,
or dispute resolution procedures of Airbnb, Vrbo, Marriott HVMI, or any other
third-party booking platform, the platform’s rules will take precedence.)
1. TERM OF LICENSE:
The Guest’s limited occupancy right begins on {{checkin_date}}
at 4:00pm (“Check-in Date”) for a maximum of {{number_of_guests}}
guests; and ends at 11:00 am on {{checkout_date}} (“Check-out Date”),
unless an earlier check in or later check out has been arranged with PROPERTY
MANAGER. Early check-in or late check-out is not permitted unless expressly
approved in writing by Property Property Manager. Unauthorized occupancy outside
the licensed term may result in additional charges and may constitute trespass.
2. LICENSE RULES
Guest agrees to abide by all the
rules, at all times while at the Property and shall cause all members of the
rental party and anyone else Guest permits on the Property to abide by such
rules at all times while at the Property.
3. SMOKING
This is a NON-SMOKING property. Smoking is strictly
prohibited inside the Property at all times. Guest acknowledges and agrees that
any violation of this provision by Guest or any member of Guest’s party shall
result in the immediate forfeiture of the security deposit and immediate
termination of Guest’s occupancy rights under this License without refund. In
the event that Property Property Manager is not holding a credit card on file
for incidentals, Guest further agrees to pay a liquidated damage fee of two
hundred fifty dollars ($250.00) for any smoking inside the Property, in
addition to any other remedies available to Property Property Manager at law or
in equity.
4. DAMAGE/RESERVATION DEPOSIT
(Not applicable to Airbnb bookings, which handle reported damages through
the platform.)
A damage/security deposit of {{listing_security_deposit}}
is required, unless Property Property Manager has agreed to keep “Credit Card
on File.” Damage Deposit will be held in a non-interest-bearing account. The
security/damage deposit is NOT applied toward license fees; however, it is
fully refundable within seven (7) days of departure (where applicable),
provided the following provisions are met:
A. No damage is done to Property or its contents.
B. No charges are incurred due to contraband, smoking, or non-collection of
fees or payments for services rendered during the stay.
C. No excessive cleaning is required. All debris, rubbish and discards are
removed or placed in the appropriate receptacles, all soiled dishes to be
rinsed and loaded into the dishwasher, and all prepared or open food items are
removed from refrigerator and countertops and are discarded appropriately.
5. MAINTENANCE
Major systems in and around the Property may
break down from time to time. Guest agrees to allow up to twenty-four
(24) hours from the time of reporting a maintenance issue for Property Property
Manager to address the matter before seeking compensation or other remedies.
6. GUEST RESPONSIBILITIES
All occupants are required to perform "Normal"
household duties that include, but are not limited to:
· Garbage Removal - Guests are cautioned not to leave trash outside for long
periods of time because it may attract rodents and other pests. We do not have
a municipal trash service on St. Thomas. Please refer to your arrival instructions regarding trash disposal.
· Regular cleaning of dishes and countertops. In the tropics, leaving open
containers or packaging of food, leftovers, or crumbs about will almost
certainly result in ant, roach, rodent, and other pest/animal infestations,
which will be the sole fault and liability of the Guests. The Property Property
Manager will not offer any refunds as a result of pest infestations arising
from failure to abide by the foregoing.
Please send a prompt notification to Property Property Manager of any damages
or problems with the property.
7. POOL/HOT TUB
It is the Guest’s responsibility to learn
about safety precautions and acknowledges that there is no lifeguard on duty
and use of the pool/hot tub is entirely at Guest’s own risk.
8. PETS
No animals or pets of any kind shall be brought onto the
premises unless agreed upon beforehand in writing by Property Property Manager.
An additional pet fee may be charged, in addition to a pet deposit, for any
approved pets. Notwithstanding the foregoing, Guest is permitted to bring a
Service Animal, as defined by applicable law, without advance notice, deposit,
or fee. Property Property Manager may not and will not inquire into the nature
of the Guest’s disability or require documentation for a Service Animal, but
may ask whether the animal is required because of a disability and what work or
task the animal has been trained to perform, consistent with applicable law.
Guests are responsible for any damage caused by any animal, including Service
Animals.
9. OCCUPANCY BY OTHERS
The limited occupancy rights for the Property are personal
to the registered Guest(s) and apply only to the individuals included in the
reservation. Any additional day visitors, event attendees, or other persons not
listed in the reservation must be approved in advance in writing by the
Property Manager. Hosting events, gatherings, or functions (including but not
limited to weddings, receptions, or parties) without prior written consent is
strictly prohibited and may result in immediate termination of occupancy rights
without refund, as well as additional fees for damages, excessive cleaning, or
violation of local regulations. For properties approved to host events, the
Guest must execute a separate Event Agreement with the Property Manager prior
to the event.
10. CONSUMABLES
Manager shall provide towels, linens, cups, knives, forks,
spoons, dishes, and other items, necessary and incidental to occupation and use
of a residential property. Toilet paper, paper towels, basic soaps, shampoo, dish
detergent, and laundry soap will be provided by Property Manager. Conditioners
and/or other consumables are to be purchased by the Guest. No reimbursement
will be made for unused consumables left at the premises. If consumables exist
at the premises when the Guest arrives, the Guest is free to use them.
11. FIREARMS
Only legally owned and permitted
firearms shall be allowed on the premises according to federal and Virgin
Islands laws. The Virgin Islands requires all firearms to be registered with
the local Virgin Islands police department. Failure to register a firearm or
possession of a firearm without a Virgin Islands firearm license is a felony
criminal offense.
12. FIREWORKS
Guest agrees that fireworks and other
hazardous and/or all other flammable materials shall not be used in or around
the property.
13. USE OF PROPERTY
Guest shall use the property for vacation purposes only.
Commercial activities, including but not limited to commercial photography,
filming, hosting of events, or ticketed events
are strictly prohibited without prior written approval from the Property
Property Manager. Where applicable, the execution of a separate Event Agreement
is required. Any other uses such as events, weddings, or parties are not allowed,
unless agreed upon in writing. Any illegal activity, illegal drug use, abuse of
any person, harboring fugitives, etc. may cause termination of this license
with no refund of fees or deposits.
14. OWNER’S CLOSET
Guest agrees not to access
"owner's closet', even if unlocked which may contain cleaning supplies
and/or chemicals that could be hazardous to children and adults.
15. GAS USE
Guest is advised that the property may contain a gas stove
and cook top, gas heating, gas grill, and other gas-powered items and will seek
help from Property Property Manager if the proper operation of such items is
not fully understood.
16. FIRE SAFETY
The property has a fire extinguisher installed near the
kitchen area and by the grill (where applicable). The fire extinguisher was
fully charged at last inspection. It is the duty of the Guest to inform
Property Property Manager immediately should the fire extinguisher become less
than fully charged. Property Property Manager agrees to use the fire
extinguisher only for true emergencies.
17. SMOKE ALARMS
The Property has fire and/or smoke alarms installed, and
they are believed to function properly at the time of permitted occupancy by
Guest. Guest will notify Property Property Manager without delay if a fire or
smoke alarm “chirps,” has a low battery condition, or appears not be operating
normally.
18. CARBON MONOXIDE
Guest is advised that the property may not contain a carbon
monoxide detector and is encouraged to contact Property Property Manager
immediately if one is desired.

while in the property by locking doors, windows, garage doors, etc. when it is
prudent to do so.

No refund of fees shall be given for
outages, content, lack of content, or personal preferences with regard to cable
TV or internet streaming services.
21. INTERNET
Wireless internet is provided as a
convenience only and is not integral to the License. No refunds shall be given
for outages, content, lack of content, speed, access problems, lack of
knowledge of use, or personal preferences with regard to internet service or
connectivity.
22. AIR CONDITIONING
Guest agrees that air conditioning
shall not be set below 72 degrees Fahrenheit. All doors and windows shall be
closed and remain closed when air conditioning is in operation. Failure to do
so may result in air conditioning malfunction, which shall be repaired and/or
remedied at the sole expense of the Guest.
23. HOLD HARMLESS AND INDEMNITY
PLEASE READ THE FOLLOWING SECTION CAREFULLY AS IT
SUBSTANTIALLY AFFECTS YOUR LEGAL RIGHTS. This indemnity does not apply to
intentional acts or gross negligence by the Property Property Manager.
Guest hereby expressly RELEASES, WAIVES, AND DISCHARGES any
and all claims, now known or hereafter known, against Property Property
Manager, Property Owner and Property Lessor, and each of their members,
managers, operators, officials, officers, directors, employees, affiliates,
agents, (the “Releasees”), on account of property damage, injury, or death to a
Guest, their guests, family members, representatives, assigns, heirs and next
of kin for any and all loss or damage of any kind or nature, whether or not
caused by negligence of the Releasees. Guest covenants not to make or bring any
such claim against Property Property Manager, Property Owner or Property
Lessor, or any other Releasee, and forever releases and discharges Property
Property Manager, Property Owner and Property Lessor and all other Releasees
from liability under such claims.
Guest hereby AGREES TO INDEMNIFY, SAVE AND HOLD HARMLESS the Releasees against
any and all losses, damages, liabilities, deficiencies, claims, actions,
judgements, settlements, interest, awards, penalties, fines, costs, or expenses
of whatever kind including reasonable attorneys’ fees and the costs of
enforcing any right to indemnification hereunder, and the costs of pursuing any
insurance providers, arising out of or resulting from any claim of a third
party related to the Guest’s use of the Property.
The Guest hereby certifies that Guest has adequate
insurance to cover any injury, illness or damage that may be caused or suffered
while in or upon the Property, or else agrees to bear the costs of such damage
or injury without resort to the Property Property Manager, or any Property
Owner or Property Lessor or other Releasee. The Guest further certifies that
Guest has no medical conditions which would interfere with use of pool,
climbing stairs, etc. or else assumes and agrees to bear the costs of all risks
that may be created, directly or indirectly, by any such condition and
expressly acknowledges such physical activities are dangerous and involve the
risk of serious injury and/or death and/or property damage. The Guest further
expressly agrees that the foregoing release, waiver and indemnity agreement is
intended to be as broad and inclusive as is permitted by law and that if any
provision is held invalid, it is agreed that the balance shall,
notwithstanding, continue in full legal force and effect.
Guest further acknowledges the Guest will exercise extreme
caution regarding the hot tub and swimming pool (which, in accordance with
typical St. Thomas construction practice, may have limited or no railings,
barriers or other safety precautions), and the verandahs, decks, all walkways
and staircases, the beach and shoreline below, and the road adjoining the
property, and hereby warrants that Guest or other adult(s) will constantly
supervise any children while in the house and while on or near the verandahs,
decks, walkways and staircases, the public road, shoreline, and/or in the
swimming pool and spa areas.
Guest understands and agrees that this License is made exclusively between the
Guest and the Property Property Manager, and that the Property Owner and
Property Lessor and their affiliated Releasees are not assuming any obligation
to the Guest whatsoever. Guest acknowledges that as a result, Guest will have
no legal recourse against any Property Owner or Property Lessor for any injury
sustained or property damage suffered, regardless of the cause. Guest
acknowledges that if Guest is unwilling to accept the risk of injury or
Property damage without recourse to the Property Owner or Property Lessor,
Guest should not sign this License or Release and should use a different
property for its vacation plans.
24. BINDING ARBITRATION
(Applies to direct bookings and any other reservations where Property
Property Manager is the contracting party. Not applicable to Airbnb or other
platforms that require disputes to be resolved through their own systems.)
a. Purpose. If you have a Dispute (as defined below) with Releasees that cannot
be resolved through an informal dispute resolution with Releasees, you or
Releasees may elect to arbitrate that Dispute in accordance with the terms of
this Arbitration Provision rather than litigate the Dispute in court.
Arbitration means you will have a fair hearing before a neutral arbitrator
instead of in a court by a judge or jury. Proceeding in arbitration may result
in limited discovery and may be subject to limited review by courts. If either
you or any of the Releasees provides notice in writing to the other that it
elects to arbitrate, the Dispute shall be exclusively resolved by mandatory,
binding arbitration before a single arbitrator. The arbitration shall be conducted
pursuant to the Streamlined Arbitration Rules and Procedures then in effect and
promulgated by the alternative dispute resolution organization JAMS. Copies of
the current version of those rules may be found at this link: . Unless the you
and the other parties to the arbitration agree in writing otherwise, this
arbitration shall be conducted under the auspices of and shall be administered
by JAMS. Judgment on the award or the arbitrator may be entered in any court
having jurisdiction. This clause shall not preclude parties from seeking
provisional remedies in aid of arbitration from a court of appropriate
jurisdiction.
b. Definitions. The term “Dispute” means any dispute, claim, or controversy
between you and Releasees regarding any aspect of your relationship with
Releasees, whether based in contract, statute, regulation, ordinance, tort
(including, but not limited to, fraud, misrepresentation, fraudulent
inducement, negligence, or any other intentional tort), or any other legal or
equitable theory, and includes the validity, enforceability or scope of this
Arbitration Provision. “Dispute” is to be given the broadest possible meaning
that will be enforced, except that Dispute will not include an action by
Releasees or any of them for eviction, forcible entry and detainer, or
possession instituted by the Releasees or any of them.
c. Initiation of Arbitration Proceeding/Selection of Arbitrator. If you or
Releasees elect to resolve your Dispute through arbitration pursuant to this
Arbitration Provision, the party initiating the arbitration proceeding may
proceed by filing a demand for arbitration with JAMS at and following its
procedures for selection of an arbitrator. The arbitration will take place by
video conference to the extent possible. If in person proceedings are required,
they will take place on St. Thomas, U.S. Virgin Islands.
d. Severability. If any clause within this Arbitration Provision is found to be
illegal or unenforceable, that clause will be severed from this Arbitration
Provision, and the remainder of this Arbitration Provision will be given full
force and effect. If the class action waiver clause is found to be illegal or
unenforceable, the entire Arbitration Provision will be unenforceable, and the
dispute will be decided by a court. In the event this entire Arbitration
Provision is determined to be illegal or unenforceable for any reason, or if a
claim is brought in a Dispute that is found by a court to be excluded from the
scope of this Arbitration Provision, you and Releasees have each agreed to
waive, to the fullest extent allowed by law, any trial by jury. Property Owner
and Property Lessor are intended third-party beneficiaries of the foregoing
Hold Harmless and Indemnity and Binding Arbitration provisions of this License.
THE UNDERSIGNED HAS READ, UNDERSTANDS
THE RISKS, AND VOLUNTARILY SIGNS THE RELEASE AND WAIVER OF LIABILITY AND
INDEMNITY AGREEMENT, and further agrees that no oral representations,
statements, or inducements apart from the foregoing written agreement have been
made. If the Guest or the Guest’s parent or legal guardian do not agree to be
legally bound by the aforementioned waiver of liability and indemnity
agreement, do not sign this License or any portion thereof.
Property Owner and Property Lessor are intended third-party beneficiaries of
the foregoing Hold Harmless and Indemnity and Binding Arbitration provisions of
this License.
25. QUIET ENJOYMENT
Guest and their guests agree not to violate quiet enjoyment
and privacy of the surrounding neighbors. Property Property Manager is not
responsible for the actions of other property owners, as Property Property
Manager has no control over their actions.
26. WEATHER/ACTS OF GOD (Force Majeure)
(For reservations made through Airbnb, Vrbo, Marriott HVMI, or other third-party
booking platforms, the refund and cancellation policies of the respective
platform shall govern exclusively).
Property Manager is not responsible for any
weather conditions or acts of God, to the extent permitted by law. For
reservations made through third-party platforms, force majeure policies shall
be governed by the respective platform.
27. CONSTRUCTION
Property Manager is not responsible
for any actions of other property owners, and Guest understands there may be
construction or ongoing work being done on nearby properties during the term of
their stay.
28. UNFORESEEN CONDITIONS
(For reservations made through Airbnb, Vrbo, Marriott HVMI, or other third-party
booking platforms, the refund and cancellation policies of the respective
platform shall govern exclusively).
If any unforeseen conditions or problems with the Property
arise prior to or during Guest's stay, Property Property Manager reserves the
right to either refund Guest’s payment, pro-rate, or place Guest in a
comparable house with the same or similar amenities, number of bedrooms, etc.
Such unforeseen conditions include, but are not limited to, hurricanes, storms,
flood, pandemics, vandalism, etc. Property Property Manager assumes no
responsibility for such unforeseen conditions.
29. ACCESS
Guest agrees to allow access to the house and Property to
Property Property Manager and his agents upon 24 hours’ notice by telephone or
in person. Agents include but are not limited to, plumbers, electricians,
rental companies, pest inspection, etc. Property Property Manager reserves the
right to inspect the Property interior upon 24 hours’ notice to Guest. Guest
agrees not to deny access. If Guest refuses to allow access to Property
Property Manager or any agent designated by Property Property Manager, the
Property Property Manager reserves the right to terminate this License and
Guest then agrees to immediately vacate the Property upon demand by Property
Property Manager and will receive no refunds.
30. MARKET FOR SALE
If the property is listed on the
MARKET FOR SALE, it may be shown to buyers during the Guest's stay with 24-hour
notice prior to showing. Every effort will be made to schedule the showing at a
convenient time and not interrupt the Guest's stay. Guest shall allow
reasonable viewings of the Property between 10AM and 5PM whether Guest is
present or not.
31. SAFETY
Guest acknowledges and agrees that
they are responsible for the safety of themselves and their guests with respect
to the pool, the stairs, the deck areas, the railings on various parts of the
property, the premises, and its surrounding areas. Guest acknowledges and
agrees to hold harmless from any injuries to them or their guests. It is
understood that there is no security or lifeguard, and that supervision is the
SOLE responsibility of Guest.
32. OUTAGES
We occasionally may experience power outages that are
beyond our control. Please report outages if/when they occur to the Property
Property Manager. No refunds or compensation will be given for any outages nor
the circumstances they may cause, directly or indirectly.
33. SHORTENED STAYS
There shall be no refunds due to shortened stays or ruined
expectations because of weather conditions, unless otherwise previously agreed
upon, in writing by Property Property Manager.
34. CANCELLATIONS
Guests can refer to the cancellation policy provided at the time of their
reservation confirmation.
35. LAWS:
The Laws of the United States Virgin
Islands shall apply to all terms under this License.
36. LIABILITY
(Applies to direct bookings and Vrbo reservations where Prestige Property
Management processes payment. Not applicable to Airbnb or other 3rd
party bookings, which manage damage claims through their platforms.)
Guest may be responsible and liable to Property Property
Manager for damages in excess of the security deposit (where applicable) for
any damage or loss caused by Guest or its guests. Renters are to be aware that
their damage deposit is retained, or credit card kept “on file” and that Guest
will be charged for any/all damages that occur to the Property, its contents,
or surroundings during the time of the Guest’s permitted occupancy under this
License, as a result of Guest(s) or their guest’s actions or negligence,
whether caused intentionally or not.
Airbnb reservations will not be required to keep a credit card on file.
37. CERTIFICATION
(For Airbnb and Marriott HVMI bookings, only the Primary Guest’s electronic
acceptance of the booking shall constitute agreement to these terms; additional
signatures are not required unless requested by the Property Manager.)
The undersigned hereby certify and
consent that they have read the entire agreement and all conditions, and agree
to comply with them during the course of occupancy. Guests agree to pay all
reasonable costs, attorney’s fees, and expenses incurred by the Property
Manager, Property Lessor, or Property Owner in enforcing this agreement. The Primary
Guest’s responsibilities and obligations for all guests are further detailed in
Section 41.
38. HOTEL/OCCUPANCY TAX
(For Airbnb, applicable taxes are collected and remitted by the platform,
and are NOT added to the reservation total beyond what Airbnb has already
collected.)
A 12.5% occupancy will be added to the
total gross rental amount unless Guest is tax exempt. Tax exempt Guests must
pay with a GSA approved credit card or present a government issued voucher.
39. TRANSACTION FEES
(Applies to direct bookings and Vrbo reservations where Property Property Manager processes
payment. Not applicable to Airbnb or other 3rd party bookings where the
platform processes payments.)
Guest understands and agrees that the
use of certain payment methods may incur transaction fees of varying amounts,
and that ALL transaction fees incurred by Guest (not to exceed 3.5% of the
total guest charges), are the SOLE responsibility of the Guest.
40. CREDIT CARD CHARGEBACKS
(Applies to direct bookings and Vrbo reservations where Property Property Manager
processes the payment. Not applicable to Airbnb, Marriott HVMI, or other
third-party platforms where the platform processes payments.)
Guest irrevocably agrees never to initiate or file a credit card
chargeback or payment dispute for charges duly incurred under this License,
except where required by law. Any payment concerns or disputes must first be
addressed directly with the Property Manager in writing, with the Guest
allowing a reasonable opportunity to resolve the matter.
In the rare event that a
maintenance issue remains unresolved beyond the twenty-four (24) hour grace
period as provided in Section 5, the Property Manager and Guest shall engage in
good faith discussions to determine mutually agreed compensation, if any, for
the inconvenience suffered. If the parties are unable to reach an agreement on
the amount of compensation, they may mutually agree to submit the dispute to a
neutral third party for non-binding resolution, which may include the use of an
AI-based platform such as ChatGPT, prior to engaging in formal mediation or
arbitration.
Any unilateral chargeback or
payment dispute filed in contravention of this provision shall constitute a
material breach of this License, entitling the Property Manager to recover all
damages, costs, and reasonable attorneys’ fees incurred in contesting and/or
reversing such chargeback or dispute. Mediation or arbitration costs, if
applicable, will be shared equally by Guest and Property Manager unless
otherwise determined by the mediator or arbitrator.
41. PRIMARY GUEST ACKNOWLEDGEMENT AND RESPONIBILITY
By signing this License, the Primary Guest ({{guest_name}})
acknowledges and agrees that they are entering into this agreement on behalf
of themselves and all other guests in their party, including any minors. The
Primary Guest further represents that they have the authority to bind all such
guests to the terms of this License and assumes full responsibility for
ensuring that all guests comply with its provisions. The absence of additional
guest signatures shall not be construed as a waiver of Guest’s responsibility
for the actions of all members of their party.
The Primary Guest shall be liable for any
damages, violations, or breaches of this License committed by any member of
their party or any invitee to the Property. In the absence of additional
signatures, the Primary Guest remains solely responsible for the obligations of
all guests.
If additional adult guests choose to sign
below, they agree to be jointly and severally liable with the Primary Guest for
all obligations set forth herein, including but not limited to indemnification,
liquidated damages, and arbitration provisions, to the fullest extent permitted
by law.
42. ELECTRONIC SIGNATURES
The parties agree that this Agreement, and any other
documents to be delivered in connection herewith, may be electronically signed,
and that any electronic signatures appearing on this Agreement are the same as
handwritten signatures for the purposes of validity, enforceability, and
admissibility. Delivery of an executed counterpart of this Agreement by
electronic means, including PDF or other image format, shall be effective as
delivery of a manually executed counterpart. Confirmation of agreement to this
License via email, platform messaging system, or other electronic means shall
constitute acceptance and be legally binding. Electronic acknowledgment via a
booking platform shall be deemed equivalent to a signed original for all
purposes.
